Vendor Agreement

1. Agreement
By registering your business on Subhood, you ("Vendor") agree to this Vendor Agreement with Jaivika Innovations Pty Ltd (trading as Subhood). This agreement governs your use of the Subhood platform.
2. Eligibility
- You must be a legitimate Australian business with a valid, active ABN.
- Your business must be physically located in a Subhood-supported suburb.
- You must have authority to bind the business to this agreement.
- You warrant that all information provided during onboarding is true and accurate.
3. Billing — scan fees
- Subhood charges $0.01 (AUD) per approved QR scan, billed monthly via Stripe.
- First 10 vendors in a new suburb receive one free month with no scan fees.
- You authorise Subhood to charge your nominated payment method at the end of each billing period.
- Failed payments will result in account suspension after three (3) retry attempts.
4. Promotion slots
- Promotion slots (Suburb Top, Category, Business Detail) are billed monthly as subscriptions.
- Cancellation takes effect at the end of the current billing period.
- Slots are non-refundable once activated.
5. Your obligations
- Promotions must be accurate and not misleading, in compliance with Australian Consumer Law.
- You must honour all rewards you advertise on Subhood.
- You must not approve scans for customers who did not visit your physical premises.
- You must not attempt to manipulate the trust score or approval system.
6. Termination
Subhood may suspend or terminate your account without notice if you violate this agreement, provide false information, or engage in fraudulent activity. You may close your account at any time by contacting support@subhood.com.au.
7. Limitation of liability
Subhood is not liable for lost revenue or business opportunities arising from platform downtime, rejected scans, or changes to the platform. Our total liability to you is limited to fees paid in the prior 12 months.
